  • Company Sales

Matrix recognizes that deciding when to sell a company is probably one of the most important decisions that a business owner will ever face. Matrix is keenly aware that a company can only be sold once and the Seller will have both financial and non-financial needs that must be fulfilled in order for the transaction to be considered a success. Our Energy & Multi-Site Retail Group ("EMR Group") provides an unparalleled level of expertise, guidance, and determination for its clients throughout the entire engagement. Each and every sale process is customized to ensure the client's needs are met, and includes the valuation of the company's assets and equity, execution of the marketing process, negotiation of the transaction, and facilitation of a successful closing. Our EMR Group has the experience and capability to design a confidential and competitive sale process in consultation with its clients. The goal is to maximize the client's value whether through a sale of the company to a single buyer or to multiple buyers, and our EMR Group has repeatedly demonstrated its success in maximizing value for its clients in all types of market conditions.

  • Asset Divestitures

Competitive market dynamics and client's preferred business models are constantly subject to change. Assets that are company-operated might perform better as dealer-operations. Certain assets or specific divisions may not yield an adequate return on investment. Unique opportunities to grow in other regions or business segments may require that capital be raised through the divestment of other assets. Matrix's team members have decades of experience working for clients that are constantly looking to optimize the assets in their portfolio. Our EMR Group works with our clients to analyze, identify, and value assets that are candidates for divestment. We also propose the means by which to extract the most value for these non-core assets. Our EMR Group executes value-maximizing mandates that can include entire divisional divestments, channel-of-trade conversions, or underperforming asset sales.

  • Buy-Side Advisory

Growing a company through acquisitions is often the fastest way to build value within an enterprise. There are a lot of unknowns that accompany an acquisition from the buyer's perspective and making critical mistakes can cause unnecessary harm to the existing operations. Matrix thoroughly recognizes the balancing act required to make sure that an acquisition creates value rather than destroys it. Our EMR Group works with its clients to ensure that the focus is always on making the offer and successfully completing the transaction to maximize the value of the total enterprise. Buy-side advisory services include the valuation of targeted assets, the preparation of comprehensive financial projections, the negotiation of the transactions, and the raising of capital that is required to close.

  • Strategic Planning

Well managed companies are frequently seeking a better understanding of how well they are deploying and measuring their returns on invested capital, examining the effects of a change in their operational and capital structure, or benchmarking performance against industry data. Our goal is to provide our clients with guidance that leads to maximizing enterprise value, whether preparing an exit strategy or developing a long-term business plan. Our experience in working with all channels-of-trade for petroleum marketing and convenience store companies (e.g. direct ops, lessee dealers, open dealers, commercial customers, residential and commercial heating customers, etc.) allows us to provide thorough and reliable analysis, prepare pro forma models, and to test assumptions properly with real world operational and transactional experience as a guide. Our EMR Group conducts an external assessment of the business to ensure that the client is focusing on the key drivers that will improve returns and identify any weaknesses that are detracting from value, as well as a valuation based on our extensive knowledge of the industry. The overall strategic plan will focus on achieving the highest level of profitability and enterprise value including a growth strategy and operational improvement plan, identifies risk factors, and recommends methods to manage and reduce these risks. .
