Why Matrix

  • Results

Matrix's Energy and Multi-Site Retail Group is the #1 M&A advisor to petroleum marketing and convenience store companies in the U.S. with nearly 90 completed engagements in the downstream energy and multi-site retail sectors. Our completed engagements in the convenience store sector alone encompass over 5,800 stores with a successful closure rate of over 95% for sell-side transactions.

With each assignment, we are committed to maximizing value and exceeding the expectations of our clients. There is not a “one-size-fits-all” transaction process that will maximize value regardless of the client’s situation, which is why Matrix customizes every transaction process within the confines of the marketplace in order to meet the unique and specific needs of the client. By running a targeted and structured transaction process, we are able to achieve transaction values for our clients that result in the peak value that is available in the market at that time. We pride ourselves on flawless execution and offering an intensive, detailed approach to each and every transaction we handle. We’re about maximizing value for our clients and it shows in our work and the results that we achieve.

  • Extensive Experience

Matrix’s EMR Group is comprised of seven highly educated, experienced deal professionals who focus entirely on the downstream energy and retail sectors, and these professionals have over 150 years of combined operational and financial experience in these industries. Both Tom Kelso, Managing Director, and Tod Butler, Vice President of Business Development, have ownership and operational experience as petroleum marketers and retailers in addition to their years in the financial services industry. The four senior members of the EMR Group have worked together for over ten years, closing nearly 90 transactions. Our EMR Group members have extensive experience in all areas of investment banking, including structuring and managing the transaction process, client advisory, business valuation and site evaluation, real estate and petroleum marketing law, buyer/seller identification, contract negotiation, debt restructurings, and the Bankruptcy Code.

Most of our transactions are highly complex, requiring not only industry knowledge, but a deep understanding of alternative structures, financing markets and tax implications that specifically relate to our client. Matrix has the expertise and knowledge to provide the best possible advice in complicated situations.

In addition to our EMR Group, Matrix has another six investment banking professionals with focuses on other industries. These professionals have completed hundreds of transactions over the last 23 years and have also developed many relationships with middle market capital providers. At Matrix, we will leverage all of our firm's resources to maximize value for our clients.

  • Senior Level Attention

At Matrix we believe that senior level attention is required on a daily basis in order to truly maximize value. We handle each transaction with a "hands-on" approach and allocate senior level attention at every step of the process in order to ensure success for our clients.

  • High Level of Confidentiality

Given that our roots hail from representation of private companies, we consider absolute confidentiality of paramount importance. We understand that our clients are extremely sensitive to rumors and potential dissemination of their corporate information into the wrong hands, which can cause business disruption, turmoil among employees, or give competitors an edge. At Matrix, we do not overexpose your company. We take the time to research which parties would have a sincere interest in the opportunity and work with you to compile a carefully selected target list of investors, lenders, or buyers. Our deal professionals monitor the participants in the process and actively address the importance of confidentiality at every stage.

  • Proprietary Resources

Matrix maintains an in-house proprietary database of potential investors and capital providers to the sectors we have focused on serving since our group’s formation in 1997. Our proprietary database of energy and multi-site retail contacts is unmatched, and we maintain constant communication with industry participants through our active deals and involvement in several professional and trade associations. Additionally, we maintain a proprietary database of private equity, mezzanine and senior lenders, and other institutional investors. These valuable resources are the result of many years of cultivating strong relationships and are a vital part of the process.

  • Cross Border Capabilities

Last, but not of least importance is working with a firm that has experience and resources internationally. This capability is becoming more and more important in middle-market transactions. Matrix has substantial international/cross border experience and resources.
